ARTIST EXHIBITION and Consignment Agreement Between Rainbow Sidekick, Inc. and Participating Artist Event: Unveiled Visions: A Festival of Alternative Lifestyle & Fetish Art (part of Florida Leather Week)
This ARTIST EXHIBITION and Consignment Agreement (“Agreement”) is entered into as of the date of the last signature below by and between:
- PRESENTER: Rainbow Sidekick, , 511 NE 21st Ct. #418, Wilton Manors, FL 33305 (“PRESENTER”)
- ARTIST: The undersigned ARTIST or authorized ARTIST representative (“ARTIST”) Collectively, the “Parties.”
- Event Overview and Dates a) Florida Leather Week (FLW) takes place November 8–16, 2025, throughout the Fort Lauderdale area.
- Unveiled Visions EXHIBITION runs November 11–16, 2025 (the “EXHIBITION”).
- BOUNDLESS Street Fair occurs November 15, 2025 (“BOUNDLESS”). Participation in BOUNDLESS is encouraged but optional.
- PRESENTER may host affiliated events, previews, and receptions within these
- Submission, Selection, and Eligibility a) Submission Deadline: September 30,
- Materials Required:
- Up to 5 images or short video/audio files (up to 5 minutes combined for time- based/performance work).
- File naming convention: ARTISTLastName_ARTISTFirstName_TitleOfWork_Size_AskingPrice.xxx (e.g., jpg).
- Brief statement (max 250 words) linking the work to alternative lifestyle/fetish
- Short bio and contact
- Any special installation/equipment
- Notification: ARTISTs will receive display/logistics info by October 15, 2025, including delivery/shipping instructions and any potential Baltimore collection
- Curation: All submissions are reviewed to ensure alignment with the spirit and intent of the event, emphasizing expressive content and authentic voice over traditional PRESENTER retains sole discretion regarding acceptance, placement, display method, and duration of display. Acceptance may be conditional upon feasibility, safety, and venue rules.
- Materials Required:
- Artwork Details and Readiness a) Preferred Dimensions: Works 40″ x 60″ and Larger works may be considered with prior written approval.
- Presentation:
- Wall works must be ready to PRESENTER will not add hanging wire or make framing modifications.
- Works on paper are accepted; framed works must be EXHIBITION-
- Time-based, installation, and performance works must include clear tech and space needs with realistic set-up/strike times.
- Inventory and Condition: ARTIST shall provide an inventory list with titles, medium, dimensions, edition information (if applicable), and retail ARTIST represents that each work is in good condition and properly prepared for display.
- Delivery, Shipping, Custody, and Return
- Delivery/Return: ARTIST is responsible for delivery to and pickup from the EXHIBITION/BOUNDLESS locations unless otherwise agreed in writing. PRESENTER may provide limited guidance or coordinate a collection point (e.g., Baltimore) if available; final responsibility remains with ARTIST.
- Limited shipping support may be available for standard-carrier shipments not requiring custom handling or crating. Any approved reimbursement or support must be confirmed in writing in advance.
- The artist’s name, email address, and telephone number are to be attached to the back of the work.
- A pre-paid return address label is to be included in the
- Packaging: Artist is responsible for secure, reusable packaging suitable for transport and return. Unsold art will be returned in the same packaging it was received in.
- Custody and Care: Presenter will exercise reasonable care in handling, displaying, and storing works; however, see Section 10 (Risk of Loss and Insurance).
- Pickup Deadline: Artist shall retrieve works by the date/time stated in the logistics notice. Works not collected within 30 days after written notice may, at Presenter’s discretion, incur storage fees or be deemed abandoned and handled in a commercially reasonable manner, with net proceeds (if any) remitted to Artist after costs.
- Sales, Pricing, and Commission a) ARTIST sets retail prices and agrees to maintain consistent retail pricing for the same work/edition during the EXHIBITION dates.
- Commission: PRESENTER’s commission is ten percent (10%) of the gross sales price maximum for sales facilitated by PRESENTER during the EXHIBITION or BOUNDLESS or via the digital catalog during the EXHIBITION and for 30 days thereafter, unless otherwise agreed in writing.
- Payment:
- Sales tax: If applicable, PRESENTER will collect and remit sales tax or instruct ARTIST regarding tax handling under Florida law.
- Settlement: PRESENTER will remit ARTIST’s net share (gross less commission, discounts approved by ARTIST, taxes, and any agreed fees) within 30 days of cleared payment.
- Holds and Layaway: Any holds or payment plans must be mutually Ownership transfers upon payment in full unless otherwise agreed.
- Delivery to Buyer: Unless otherwise agreed, ARTIST is responsible for post- sale delivery/shipping to buyer and related costs; PRESENTER will coordinate buyer details.
- Digital Catalog, Promotion, and Marketing a) Catalog: All exhibited works will be included in an electronic catalog distributed broadly. b) License for Promotion: ARTIST grants PRESENTER a non-exclusive, royalty-free license to use images/video/audio of the works, ARTIST name, likeness, bio, and statements for non-commercial promotional purposes related to Unveiled Visions, BOUNDLESS, FLW, and future promotion of these events (e.g., website, social media, press, signage, catalogs, recap materials). This license does not authorize merchandise production or commercial exploitation beyond event promotion without separate written consent. See also Exhibit C (Publicity, Likeness, and Media Release) for additional terms governing capture and use of likeness and documentation. c) Credits: PRESENTER will use reasonable efforts to credit ARTIST in promotional materials.
- Intellectual Property and Moral Rights a) Ownership: ARTIST retains all copyrights and intellectual property rights in the works. b) Reproductions: Any reproductions by PRESENTER shall be solely for documentation and promotion of the EXHIBITION/BOUNDLESS/FLW as set forth in Section 6 and governed by Exhibit c) Integrity: PRESENTER will not intentionally alter the works or their titles and will respect ARTIST’s moral rights where applicable.
- Installation, Performance, Safety, and Community Standards a) Installation and Tech: ARTIST must provide accurate technical requirements, equipment lists, diagrams, and installation times. PRESENTER may modify display plans for safety, feasibility, ADA accessibility, venue limitations, or curatorial coherence.
- Performance Works: For performances, ARTIST shall submit scripts/outlines, run times, safety considerations, consent practices where relevant, and any audience interaction protocols.
- Content: The EXHIBITION embraces erotic, fetish, and alternative lifestyle themes while maintaining a safe, respectful environment. Explicit illegal content or depictions involving minors (or individuals appearing as minors), bestiality, non-consensual acts, or content violating law or venue policies are prohibited. PRESENTER may remove or modify display of any work for legal, safety, or venue compliance reasons.
- Conduct and Consent: All interactive or performance components must follow explicit consent protocols. ARTIST is solely responsible for the conduct and safety of any performers or participants associated with ARTIST’s work, and for compliance with all laws and venue policies.
- Equipment, Costs, and Third Parties a) Equipment: Unless otherwise agreed, ARTIST supplies and is responsible for any specialized equipment (e.g., projectors, screens, media players, sound systems, props, rigs).
- Third-Party Rights: ARTIST warrants that works and any included materials (music, video, images, likenesses, scripts) do not infringe third-party rights and that all necessary permissions/releases are secured. ARTIST indemnifies PRESENTER for claims arising from ARTIST’s breach of this warranty.
- Risk of Loss and Insurance a) Risk: While PRESENTER will take reasonable and appropriate measures to safeguard artwork, PRESENTER does not assume responsibility for loss, theft, or damage.
- Insurance: ARTIST is strongly encouraged to maintain insurance covering the works for the duration of shipping, installation, EXHIBITION/BOUNDLESS display, storage, and return transport.
- Waiver: To the fullest extent permitted by law, ARTIST releases and holds harmless PRESENTER, its officers, employees, contractors, volunteers, venues, and affiliates from liability for loss or damage to the works except to the extent caused by PRESENTER’s gross negligence or willful misconduct.
- Compliance with Law and Venue Policies ARTIST shall comply with all applicable laws, ordinances, and venue rules, including fire/egress, nudity/obscenity standards under Florida law, health/safety codes, and insurance requirements. PRESENTER may remove or pause display or performance to address compliance issues.
- Cancellations, Postponements, and Force Majeure a) PRESENTER may cancel or postpone the EXHIBITION or BOUNDLESS due to circumstances beyond its reasonable control (e.g., severe weather, venue issues, government actions, public health concerns).
- If canceled before opening, PRESENTER will return delivered works within a reasonable timeframe; neither party shall be liable for consequential damages.
- If postponed, PRESENTER will make good faith efforts to reschedule; ARTIST may elect to withdraw without penalty upon written notice.
- Term and Termination a) Term: This Agreement becomes effective upon full execution and remains in effect through return of the works and completion of sales settlements.
- Termination for Cause: Either Party may terminate for material breach after written notice and a 10-day opportunity to cure, if Sections that by their nature should survive (e.g., 5, 6, 7, 9, 10, 12, 15) shall survive termination.
- Independent Contractor; No Employment or Agency ARTIST and PRESENTER are independent This Agreement does not create a partnership, joint venture, employment, or agency relationship.
- Limitation of Liability Except for breaches of Section 7 (IP) or 9 (Third-Party Rights/Indemnity), each Party’s aggregate liability to the other shall not exceed the total commission actually earned by PRESENTER on ARTIST’s sales under this Agreement, if any, or $500, whichever is greater. Neither Party is liable for indirect, incidental, special, or consequential damages.
- Dispute Resolution; Governing Law; Venue This Agreement is governed by Florida The Parties will first attempt to resolve disputes in good faith through informal discussions. If unresolved, disputes shall be brought in the state courts of Broward County, Florida or the U.S. District Court for the Southern District of Florida, as applicable.
- Notices Notices under this Agreement shall be in writing and deemed given when sent by email with confirmation, or by certified mail or recognized courier, to:

- Entire Agreement; Amendments; Assignment; Severability; Counterparts a) Entire Agreement: This Agreement, together with the accepted submission and logistics notices, constitutes the entire agreement between the Parties and supersedes prior
- Amendments: Any amendments must be in writing and signed or acknowledged by both Parties (email acceptance acceptable).
- Assignment: ARTIST may not assign rights or obligations without PRESENTER’s prior written consent.
- Severability: If any term is found invalid, the remainder remains in
- Counterparts and Electronic Signatures: This Agreement may be executed in counterparts and via electronic signatures, each deemed an original.
- ARTIST Warranties ARTIST represents and warrants that:
- ARTIST is the creator or authorized representative of the works and has full authority to enter this Agreement;
- The works are original (or appropriately licensed) and do not infringe any third-party rights;
- The works comply with applicable laws and do not include prohibited content per Section 8(c).
- Optional Participation in BOUNDLESS If ARTIST opts to present, display, or sell at BOUNDLESS:
- Space Assignment: PRESENTER assigns space and retains discretion over placement and power availability.
- Set-Up/Strike: ARTIST must adhere to posted times and safety rules; pop-up tents, weights, cords, and displays must comply with venue and city requirements.
- Sales at BOUNDLESS: Commission as per Section 5 applies to works sold through PRESENTER-facilitated channels at Direct sales by ARTIST at ARTIST’s booth may be exempt from commission if explicitly designated by PRESENTER in writing before the event; in such cases, ARTIST is responsible for sales tax collection/remittance.
- Permits: ARTIST is responsible for any required city/vendor permits and business tax receipts unless otherwise stated in the logistics notice.
- Data and Privacy ARTIST consents to PRESENTER collecting and using ARTIST’s contact information and submission materials for event administration and communications, handled in accordance with applicable privacy laws.

By signing below, ARTIST acknowledges receipt of and agrees to the Agreement and attached Exhibits and Riders, including Exhibit A (Inventory and Pricing), Exhibit B (Performance/Installation Specs, if applicable), Exhibit C (Publicity, Likeness, and Media Release), and the Scholarship Support Rider (if awarded).

Publicity, Likeness, and Media Release Unveiled Visions / Florida Leather Week EXHIBIT C
Between Rainbow Sidekick, Inc. (“PRESENTER”) and the undersigned ARTIST/Participant (“ARTIST”)
- Scope of Release ARTIST grants PRESENTER, Florida Leather Week organizers, their designees, media partners, successors, and assigns a worldwide, perpetual, non- exclusive, royalty-free license to record, photograph, film, stream, and otherwise capture and use:
- ARTIST’s likeness, image, voice, name, and biographical information;
- Images/audio/video of ARTIST’s artwork(s) and performances presented in connection with Unveiled Visions, BOUNDLESS, and affiliated FLW events;
- Related materials ARTIST provides (ARTIST statement, bio, titles, credits).
2. Permitted Uses The above may be used for any purpose reasonably related to the EXHIBITION(s), including:
- Event and program promotion, publicity, press, editorial, and news;
- Websites, social media, email, digital catalogs, recap videos, documentation, archives;
- Funding/grant reports, sponsorship decks, and institutional presentations;
- Future promotion of Unveiled Visions, BOUNDLESS, and Florida Leather Week EXHIBITIONs and programming.
- This Release does not authorize the manufacture or sale of merchandise (e.g., posters, prints, apparel) featuring the artwork(s) or ARTIST’s likeness for commercial resale without a separate written agreement.
- Credit; Integrity
- a) Credit: PRESENTER will use reasonable efforts to credit ARTIST when reproducing the artwork in editorial or promotional contexts where credits are customary or feasible.
- b) Integrity: PRESENTER will not intentionally alter the artwork’s image in a manner that misrepresents the work or ARTIST’s Cropping and color correction for standard formatting and legibility are permitted.
- Sensitive Content; Consent
- a) ARTIST acknowledges the event’s focus on erotic, fetish, and alternative lifestyle themes and agrees that documentation may include such context
- b) If any performance involves audience interaction or identifiable third parties, ARTIST is responsible for obtaining necessary permissions/releases from those participants and for implementing consent and safety protocols.
- No Compensation; No Obligation to Use ARTIST understands no further payment is due for the uses described. PRESENTER has no obligation to use any capture.
- Ownership and IP
- a) ARTIST retains all copyrights in the This Release licenses reproductions for event-related purposes only.
- b) PRESENTER or its contractors may own the copyright in photographs/videos they create; ARTIST’s license under this Release is non-exclusive and does not restrict ARTIST’s own use of images of their work.
- Warranties and Indemnity ARTIST represents and warrants that they have the authority to grant this Release and that the artwork does not infringe third-party ARTIST will obtain any required third-party permissions for included materials (e.g., music, footage, models) and will indemnify PRESENTER for claims arising from ARTIST’s breach of this section.
- Revocation; Takedown Requests This Release is perpetual and irrevocable for materials already created or For future uses, ARTIST may submit reasonable takedown or credit correction requests for specific assets; PRESENTER will use good-faith efforts to address feasible requests on platforms it controls.
- Privacy; Sensitive Anonymity Option If ARTIST wishes to be credited under a stage name or remain anonymous in public-facing materials, ARTIST must indicate this below or in writing to PRESENTER prior to publication. PRESENTER will use reasonable efforts to honor the request in materials within its control.
- Governing Law This Release is governed by the laws of the State of Venue lies in Broward County, Florida.

Scholarship Support Rider To: ARTIST Exhibition and Consignment AGREEMENT (Unveiled Visions) Between Rainbow Sidekick, Inc. (“PRESENTER”) and the undersigned ARTIST (“ARTIST”), dated _____________
This Scholarship Support Rider (“RIDER”) supplements and is incorporated into the ARTIST Exhibition and Consignment AGREEMENT (the “AGREEMENT”). If there is a conflict, this RIDER governs solely with respect to scholarship support.
- Purpose and Scope PRESENTER may provide limited financial or in-kind support to reduce barriers for ARTISTs participating in Unveiled Visions and/or Boundless. Support is discretionary, subject to budget and approval, and is not compensation or an employment/independent contractor fee.
- Types of Support Subject to written approval (email acceptable), PRESENTER may offer one or more of the following:
- Travel Stipend: Assistance for airfare, ground transport, rideshare, or mileage at an announced rate.
- Lodging Support: Nightly stipend or direct booking of shared or individual accommodations.
- Shipping/Transport Support: Carrier charges, packaging materials, or consolidated transport (e.g., collection point).
- Production/Installation Support: Costs of materials, equipment rental, printing, or fabrication necessary to present the approved work.
- Per Diem: Daily allowance for meals/incidental expenses during event dates.
- Award Letter Each award will be documented by a Scholarship Award Letter that specifies:
- Type(s) and maximum amount(s) approved
- Covered dates (travel dates and/or exhibition window)
- Payment method (reimbursement, pre-payment, or direct pay)
- Documentation required (receipts, boarding passes, tracking numbers, invoices)
- Any conditions precedent (e.g., confirmed acceptance, attendance at opening, performance schedule) The Award Letter is incorporated by reference into this RIDER.
- Payment Methods and Timing
- Reimbursement: ARTIST submits required documentation within 30 days of expense; PRESENTER pays within 30 days of complete submission. Late submissions may be denied.
- Direct Pay: PRESENTER may pay vendors directly (e.g., airline, hotel, shipper). ARTIST authorizes PRESENTER to share necessary info to make bookings.
- Advances: If an advance is approved, ARTIST must provide proof of use within 30 days after the event or per the Award Letter. Unused or undocumented portions must be returned within 15 days of notice.
- Taxes: Scholarships/stipends may be taxable. ARTIST is responsible for any tax reporting; PRESENTER may issue required tax forms where applicable.
- Eligibility, Conditions, and Changes
- Eligibility: Scholarships are intended for ARTISTs with demonstrated financial need and/or significant logistical barriers to participation.
- Conditions: Support is conditioned on (i) timely delivery/presentation of the approved work; (ii) adherence to event guidelines and the AGREEMENT; and (iii) attendance at reasonable required activities if specified in the Award Letter.
- Changes: Material changes to itinerary, shipping method, or production plans require written approval. PRESENTER is not responsible for cost increases due to unapproved changes.
- Cancellations, Withdrawals, and Refunds
- If ARTIST withdraws without good cause (e.g., medical emergency, documented force majeure) after funds are advanced or costs are incurred, ARTIST shall refund any unused funds and reimburse PRESENTER for non-refundable costs up to the award maximum.
- If the event or ARTIST’s participation is canceled or materially curtailed due to force majeure (Section 12 of the AGREEMENT), neither party is liable for consequential damages; PRESENTER will reasonably assist in vendor cancellations or credits.
- If ARTIST fails to provide required documentation or does not present the work as agreed (other than for good cause), PRESENTER may (i) deny reimbursement; (ii) request return of advances; and/or (iii) offset against sale proceeds if applicable.
- Shipping and Transport Specifics
- Method: Scholarships for shipping may require use of specified carriers, service levels, or the PRESENTER’s consolidated transport.
- Insurance: Unless expressly stated in the Award Letter, insurance for shipment is the ARTIST’s responsibility.
- Packaging: ARTIST must pack works to a professional standard; PRESENTER may deny reimbursement for damage arising from inadequate packing.
- Deadlines: ARTIST must meet ship-by, deliver-by, and pickup deadlines stated in logistics materials.
- Production/Installation Support
- a) Approved Budget: Production support covers only items listed in the Award Letter or subsequently approved in writing.
- Ownership: Tools and reusable equipment purchased with support funds remain the property of the purchaser as stated in the Award Letter; default is ARTIST-owned unless PRESENTER specifies loaned or PRESENTER-owned equipment.
- Documentation: ARTIST provides receipts and, where applicable, a final materials list.
- Publicity and Acknowledgment ARTIST agrees that PRESENTER may publicly acknowledge scholarship support (e.g., “ARTIST travel supported by Unveiled Visions Scholarship Fund”) in event materials, unless ARTIST requests anonymity in writing and PRESENTER agrees.
- No Assignment; Non-Transferability Scholarship awards are personal to the ARTIST and may not be assigned, transferred, or redeemed for cash except as provided herein.
- Relationship to Sales and Commission Scholarship support does not affect pricing or commission terms under Section 5 of the AGREEMENT. However, PRESENTER may, upon written notice, offset documented, overdue, and undisputed amounts advanced to ARTIST against ARTIST’s net sales proceeds.
- Representations and Compliance ARTIST represents that scholarship funds will be used solely for the approved purposes and will comply with all applicable laws and vendor terms. Any misuse constitutes a material breach.
- Survival; Conflicts Provisions relating to documentation, refunds, offsets, and publicity survive completion of the event. In case of conflict between this RIDER and the AGREEMENT, this RIDER controls for scholarship matters; otherwise, the AGREEMENT remains in full force.
